1. ACCEPTANCE OF TERMS

By accessing or using the Minaions Platform and related services ("Services"), you ("User," "Customer,", “Bidder”, “Tenant” or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you and Minaions Private Limited ("Company," "we," "us," or "our"), a technology company specializing in Agentic AI solutions for business automation and tender/bid processing automation.

2. SERVICE DESCRIPTION

Minaions provides AI-powered automation solutions including but not limited to:

• Tender and Bid Processing: Automated analysis, clause extraction, risk assessment, and document processing
• AI-Powered Document Analysis: Intelligent scanning, categorization, and insights generation
• Business Workflow Automation: Streamlined operations, data processing, and report generation
• Risk Assessment Tools: RAG-powered analysis and decision-making support
• Document Management: Create, store, edit, arrange, manage, generate and regenerate documents in various file formats

The Minaions Package Builder is a utility that allows customers to:

• Configure custom tender processing packages
• Select validity periods (1-12 months)
• Calculate pricing based on usage tiers
• Access tender analysis credits
• Apply discount coupons
• Purchase processing packages for the Minaions platform

3. PACKAGE TERMS & PRICING

• Tender Processing Credits: Credits used for processing/ generating/ assembling/ arranging the tender/bid documents
• Tender Analysis Credits: Credits for AI-powered document analysis and eligibility assessment based on the bidder company details provided.
• Validity Period: Duration for which credits may remain active (no. of months).
• Non-transferable: Credits cannot be transferred between accounts

Pricing is calculated based on average tenders per month. In a package, the cost per tender processing decreases as the number of tenders per month increases. The decision of setting a cost per tender processing in any package for any tenant lies with the Company (Minaions Private Limited). The tenant is free to choose the package and decide to pay for it or not.

Credits consumed per analysis/report generated, irrespective of the result of eligibility of bidder for that particular RFP/ Tender/ Bid. Free analysis credits are provided along with Tender Processing credits. The number of free credits to be provided in a package are totally dependent on the Company’s (Minaions Private Limited) discretion and these credits can be revoked at any time without refunding any kind of money.

• A package expires if any of the package components expires or is consumed first.
• Majorly the components of a normal package are Analysis Credits, Tender Processing Credits and Validity Period.
• No refunds for unused credits after expiration
• No extensions beyond the original validity period
• No carry forwarding of unused credits

4. PAYMENT & BILLING

• All payments processed through secure third-party payment gateways
• Payment required before package activation
• All prices listed in Indian Rupees (INR) unless specified otherwise

• No refunds after package purchase
• Partial refunds not available for unused credits

• All prices are exclusive of applicable taxes
• Customers responsible for any applicable GST, service tax, or other levies
• Tax invoices provided upon request

5. COUPON CODES & DISCOUNTS

• Coupons subject to specific terms and conditions
• Cannot be combined with other offers.
• Company reserves right to modify or withdraw coupons without notice

6. DATA PRIVACY & SECURITY

We collect and process:

• Account information and contact details
• Usage patterns and analytics
• Uploaded documents for processing
• Payment and billing information
• Company information of the bidder company
6.2 Data Protection
• Data hosted on secure servers
• Regular security assessments conducted
• Compliance with applicable data protection laws
6.3 Document Processing
• Customer documents processed using AI/ML algorithms
• No data sharing with third parties without consent

7. INTELLECTUAL PROPERTY

7.1 Minaions Property
• All platform code, algorithms, and AI models remain our exclusive property
• Trade secrets and proprietary methodologies protected
• Customer may not reverse engineer or attempt to extract our IP
7.2 Customer Content
• Customers retain ownership of uploaded documents
• Limited license granted to us for processing purposes only
• We do not claim ownership of customer business data
7.3 Generated Reports
• Analysis reports and insights generated remain customer property
• We retain anonymized data for platform improvement purposes
• Customer may not redistribute our analysis methodologies

8. SERVICE AVAILABILITY & SUPPORT

8.1 Service Level
• Planned Maintenance: Scheduled during low-usage periods
• Support Hours: 24/7 customer support via email and chat
8.2 Force Majeure
• Service interruptions due to circumstances beyond our control
• Natural disasters, government actions, or third-party failures
• No liability for delays or failures due to force majeure events

9. USER RESPONSIBILITIES

9.1 Account Security
• Maintain confidentiality of login credentials
• Notify us immediately of any unauthorized access
• Responsible for all activities under your account
9.2 Acceptable Use
• Use services only for lawful business purposes
• Do not upload malicious or copyrighted content
• Comply with all applicable laws and regulations
9.3 Document Quality
• Ensure uploaded documents are legible and complete
• Provide documents in supported formats (PDF, DOC, DOCX)
• Verify accuracy of analysis results before making business decisions

By using Minaions Platform, user accepts full responsibility for:

• Internet connectivity or customer hardware problemss

11. TERMINATION

11.1 Customer Termination
• Stop using services at any time
• No refund for remaining credits
• Account data will be deleted on request
11.2 Company Termination
• We may suspend/terminate accounts for Terms violations
• Immediate termination for fraudulent or illegal activities
• 30-day notice for convenience terminations
11.3 Effect of Termination
• Immediate loss of access to services
• Downloaded reports and documents remain customer property
• Payment obligations survive termination

12. COMPLIANCE & LEGAL

12.1 Jurisdiction
• These Terms governed by Indian law
• Disputes subject to exclusive jurisdiction of Gurugram courts
• Arbitration preferred for commercial dispute resolution

13. MODIFICATIONS & UPDATES
